Welcome to Evergrid ("we", "our", or "us"). By accessing or using our website, services, or products (collectively, the "Platform"), you agree to be bound by the following Terms of Service. If you do not agree to these terms, do not use the Platform.
1. Eligibility and Account Registration
You must be at least 18 years old to use this Platform. By using it, you represent and warrant that you meet this requirement.
To access certain features of the Platform, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
2. Ownership and Use of Blocks
Users may purchase digital "blocks" on our grid and customize them with an image, link, and tooltip.
Blocks are non-transferable and do not represent any ownership, equity, or financial claim.
The display of a block is subject to moderation and continued compliance with these terms.
We reserve the right to modify, suspend, or terminate block features at any time without prior notice.
Block purchases are final and non-refundable except as required by applicable law or as specified in our refund policy.
3. User Content and Review
All submissions (images, links, tooltips) are subject to content review.
We reserve the right to approve, reject, or remove content at our sole discretion.
Content must not contain:
- Illegal, defamatory, hateful, or misleading material
- Adult content, nudity, or sexually explicit material
- Content promoting violence, discrimination, or harassment
- Malware, phishing, or other harmful content
- Content infringing on intellectual property rights
- Spam or unauthorized commercial content
4. Payments and Refunds
All purchases are one-time and non-recurring.
Pricing may vary depending on block size and location.
Payments are processed via third-party providers (e.g. Stripe, Coinbase Commerce, Paddle).
By purchasing a block, you agree to their terms and our refund and moderation policies.
Refunds may be provided at our discretion or as required by applicable law. To request a refund, contact our support team within 14 days of purchase.
We reserve the right to modify our pricing structure at any time, with notice to existing users.
5. No Guarantees or Endorsements
Block display does not imply our endorsement of the content or linked sites.
We do not guarantee visibility, traffic, or performance.
We may adjust layout, sorting, or display behavior at any time.
We do not guarantee that the Platform will be error-free or uninterrupted.
6. Platform Availability and Maintenance
Blocks will remain displayed for the lifetime of the project, but we do not guarantee uninterrupted service or indefinite operation.
We reserve the right to shut down or modify the Platform at our discretion.
We may perform scheduled maintenance with reasonable notice to users.
In case of force majeure events, we may suspend or terminate services without liability.
7. Intellectual Property
You retain rights to your submitted content but grant us a worldwide, royalty-free license to use, display, and promote it within the Platform.
You must have the right to use any images or logos you submit.
Our Platform, including its original content, features, and functionality, is owned by Evergrid and is protected by international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material obtained through the Platform.
8. Privacy and Data Protection
We collect and process personal data in accordance with our Privacy Policy.
By using the Platform, you consent to our data practices as described in our Privacy Policy.
We implement appropriate security measures to protect your personal information.
You have the right to access, correct, or delete your personal data as described in our Privacy Policy.
9. Limitation of Liability
We are not liable for any indirect, incidental, or consequential damages resulting from use of the Platform. Use at your own risk.
Our total liability to you for any claims arising from or related to the Platform shall not exceed the amount you paid us in the past 12 months.
Some jurisdictions do not allow the limitation of liability, so these limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Evergrid and its affiliates from any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use of the Platform or violation of these Terms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England & Wales.
Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in London, England, and the language of the arbitration shall be English.
You waive your right to participate in class action lawsuits or class-wide arbitrations.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform means you accept the revised terms.
We will notify users of any material changes to these Terms via email or through the Platform.
If you do not agree to the modified Terms, you must stop using the Platform.
